This Agreement is entered into between Houses and Properties LTD, a company registered in England and Wales under company number 14977466 (hereinafter referred to as “HousesandProperties.com,” “Houses and Properties,” “us,” “we,” or “our”), and the Client, who engages our property marketing services (being an individual consumer, sole trader, company, partnership, trust, or other legal entity) (hereinafter referred to as “you,” “your,” or “Client”)
By accessing this website and ordering services from us, you acknowledge and agree to abide by these terms and conditions, including our Service Agreement for the comprehensive digital and print imagery and video solutions we provide (hereinafter collectively referred to as “the Services”).
1. Services Provided and Key Definitions
1.1. Services:
HousesandProperties.com offers a range of property marketing, imaging, and digital content creation services, including but not limited to: Photography, Video Tours, Reels, Floor Plans, Virtual Reality (VR) Tours (e.g., Matterport), and Aerial Imaging. Any booking or appointment made falls under the scope of “the Services.”
1.2. Definition of The Works:
The term “the Works” refers specifically to the final, completed, and delivered product of the Services, including all photographs, video files, floor plans, digital content, and related media delivered to the Client by HousesandProperties.com.
1.3. Definition of Rescheduling:
For the purpose of this Agreement, the term “Reschedule” is defined as the Client’s request to move a confirmed appointment from its currently secured time slot to a new time slot. The act of requesting a Reschedule constitutes an explicit instruction by the Client to cancel the existing appointment, immediately forfeiting that time slot to HousesandProperties.com, and concurrently initiating a new booking for a future date, subject to the fees outlined in Section 3. The original payment for the cancelled time slot is then subject to transfer, partial retention, or full forfeiture as stipulated in Section 3.
1.4. Definition of Long-Distance Booking:
A “Long-Distance Booking” is defined as any confirmed appointment where the property address is located outside a ten (10) mile radius of Charing Cross, London, and where HousesandProperties.com, in its sole discretion, determines that pre-booked, non-refundable travel and accommodation expenses are necessary to deliver the Services.
2. Payment Policy
Payment is due immediately upon booking to confirm and secure the appointment. Credit card payments are processed online.
The release of the Works is not authorised until payment is received in full. Failure to pay for the Services will result in copyright infringement. The Client will be required to remove all works by HousesandProperties.com from any electronic, radio or printed form of advertisement. Failure to comply will result in legal action. We reserve the right to pursue legal damages for non-payment of services rendered, irrespective of any subsequent removal of the images.
3. Cancellation and Refund Policy
3.1. General Policy and Definitions:
Your payment confirms the Booking and secures your exclusive time slot in our schedule. All payments are non-refundable, except where mandated by law or explicitly stated in Section 3.2. For the avoidance of doubt, any request to reschedule is treated as a cancellation of the original appointment time and a request for a new appointment, as defined in Section 1.3.
3.2. Reschedule with Ample Notice (More than 42 Hours)
Rescheduling with more than forty-two (42) hours’ notice is handled as follows:
Mandatory Exception for Long-Distance Bookings: The provisions below are subject to a mandatory Travel Reimbursement Fee for Long-Distance Bookings (as defined in Section 1.4 and detailed in Section 3.2.1).
- First Reschedule: The appointment may be rescheduled free of charge (100% of the original payment is transferred to the new booking). This option is permitted only ONCE (one time) per original booking.
- Subsequent Rescheduling (Second or Later Change): If a Client requests a second or any later reschedule of the same original booking, a rescheduling fee of eighty percent (80%) of the previous payment will be retained by Houses and Properties. The Client must make a new, full-price payment to secure the new appointment.
- The remaining twenty percent (20%) of the previous payment will be processed as a partial refund after the successful completion of the newly rescheduled service.
3.2.1. Travel Reimbursement Fee for Long-Distance Bookings
For all Long-Distance Bookings, any request to Reschedule (whether the first or a subsequent change), even with more than 42 hours’ notice, will incur a mandatory Travel Reimbursement Fee.
- Fee Definition: The fee shall be equal to the full, documented, non-refundable cost of any pre-booked, third-party travel tickets, accommodation, or pre-paid logistical expenses (e.g., train, coach, flight, or hotel bookings) that HousesandProperties.com has incurred to service the original appointment time. This fee expressly excludes variable operational costs such as fuel mileage, standard vehicle wear and tear, and hourly labour rates.
- Payment Requirement: The Client agrees that HousesandProperties.com is entitled to deduct this full Reimbursement Fee from the original booking payment. The Client must pay the full Reimbursement Fee before the new appointment can be secured if the fee exceeds the original payment. HousesandProperties.com will provide documentation of these non-refundable costs.
- This Reimbursement Fee is separate from, and applies in addition to, any forfeiture or new payment required under Section 3.2 or 3.3.
3.2.2. Travel Cost Inclusion and Reschedule Pricing Acknowledgement
For Long-Distance Bookings (Section 1.4) only, the Client acknowledges that the total booking payment is deemed to include the necessary cost of pre-booked, non-refundable travel and accommodation expenses (as defined in Section 3.2.1) required to fulfil the original appointment. This inclusion applies if these costs were not charged or stated separately on the invoice or service page.
Financial Consequence of Rescheduling: The Client accepts that upon requesting a Reschedule (as defined in Section 1.3):
- Cost Deduction: The Travel Reimbursement Fee (Section 3.2.1) will be deducted from the original payment amount. If the deducted fee exceeds the original payment, the Client must top up the difference immediately to secure the new booking slot.
- Price Fluctuation: The price of the new appointment is subject to the prevailing rates, days, and times applicable on the date of the new booking. The Client understands that the final price for the rescheduled service may be higher than the original payment amount, and any shortfall must be paid in full to confirm the new appointment.
3.3. Full Forfeiture for Insufficient Notice or Access Failure
The payment for your booking will be retained in full (100% forfeiture) by Houses and Properties. This forfeiture is calculated as a sum representing genuine liquidated damages for the pre-estimated losses incurred to cover preparation, administrative fees, and lost booking opportunity under any of the following circumstances:
- Insufficient Notice Cancellation/Reschedule: If a Client attempts to cancel or postpone the appointment less than forty-two (42) hours before its scheduled time, regardless of whether it is the first or a subsequent change.
- Same-Day Cancellation/No-Show: If a Client cancels on the day of the appointment’s commencement or fails to show up for the confirmed slot.
- Access Failure: If the Client fails to provide unhindered access to the property as stipulated in Section 6.4.
In all cases resulting in full forfeiture, the Client must make a new, full-price payment to secure any future appointment slot. For Long-Distance Bookings, the Client will also remain liable for the Travel Reimbursement Fee (Section 3.2.1) if not already deducted.
3.4. Statutory Right to Cancel & Waiver (Consumer Contracts Regulations 2013)
By confirming the appointment and making payment, the Client explicitly requests that our services commence immediately, waiving the statutory 14-day cancellation period, as the service is contingent upon a specific date and time.
Should the Client attempt to cancel under the statutory 14-day cooling-off period, they acknowledge and agree that the payment retention and forfeiture rules set out in Section 3.3 constitute the reasonable, non-refundable proportional charge for the reservation of the photographer’s time, incurred preparation costs, administrative processing, and the irrevocable loss of the booking slot. The Client accepts that any cancellation fee retained by HousesandProperties.com, including fees up to 100% as detailed in Section 3.3, reflects the actual loss incurred by the business due to the reservation and subsequent cancellation of the time slot.
3.5. Agreement to Terms and Payment Method, and Commencement Request:
By confirming the appointment and making payment, the Client expressly agrees to these full terms, including the full forfeiture conditions defined in Section 3.3. The Client acknowledges that contract discovery and formation occur via the HousesandProperties.com website, which includes reviewing our portfolio, services, and pricing prior to payment. Furthermore, the Client explicitly requests that the provision of the Services commences immediately upon booking and payment, thereby acknowledging and agreeing to waive the statutory 14-day cancellation period, as stipulated in Section 3.4. Therefore, regardless of the payment method used (whether online card payment, BACS transfer, bank deposit, or other offline system), the completion of payment constitutes explicit, binding acceptance of all Terms and Conditions published on the website at the time of payment.
3.6. Trader’s Right to Terminate and Refund:
HousesandProperties.com reserves the right to cancel or terminate any appointment for any reason, including, but not limited to, changes in business operational capacity, photographer illness, equipment failure, or scheduling conflicts, provided that HousesandProperties.com gives notice to the Client. In the event of cancellation due to HousesandProperties.com’s operational issues (excluding client-side issues, Section 18.2) or severe weather (Section 18.3), the booking will be rescheduled once for free at the earliest mutual convenience.
- Refund Obligation: HousesandProperties.com shall process a refund based on the status of the booking:
- Full Refund: If the cancellation occurs before any forfeiture event has taken place **and no non-refundable travel costs have been incurred for a Long-Distance Booking,** HousesandProperties.com will process a full (100%) refund of the booking payment.
- Partial Refund: If the cancellation occurs after a forfeiture event has taken place (e.g., following a change request under Section 3.2 or 3.3), HousesandProperties.com will process a refund equal to the amount remaining after the application of the relevant forfeiture fees.
- Discharge of Liability: The refund and associated receipt must be initiated within two (2) business days of cancellation. The Client acknowledges that upon receipt of the final calculated refund amount, HousesandProperties.com has fulfilled its entire obligation, and the Client shall have no further claims (including claims for compensation or consequential loss) against HousesandProperties.com related to the cancelled service.
3.7. Adherence of Fees and Charges
All booking fees, cancellation charges, liquidated damages, and other sums levied under this Agreement, regardless of the method of payment or invoice used (including, but not limited to, online payment, BACS, or manual invoice), constitute an automatic acceptance and adherence to the terms and conditions outlined in this Section 3.
4. Use of Additional Sleeping Areas
The booking price is based on the number of bedrooms selected at the time of reservation. Undeclared bedrooms will be prorated to reflect the price at the time of booking and will result in additional charges or a rescheduling of your session.
5. Property Classification & Service Scope
5.1. The fee for a Booking is based on the property size (e.g., number of bedrooms) and classification (e.g., single-dwelling) selected by the Client.
5.2. A single-dwelling property is defined as a property registered under a single title at HM Land Registry and intended for single household occupation.
5.3. If your instruction is to photograph two or more self-contained units during the same appointment, you must select our ‘Block of Flats / Multi-Unit’ service. Attempting to book multiple properties under a single-dwelling service will result in the re-classification of your Booking with immediate additional charges or the cancellation of the appointment with forfeiture of fees.
6. Client Guidance, Preparation, and Access
6.1. The Client may provide guidance to the photographer regarding specific shot requests in advance. Session times are strictly allotted (e.g., 45 minutes to 1 hour 15 minutes for 1-2 Bedroom Properties). Extensive on-site direction that causes the session to significantly overrun its allotted time may necessitate a condensed approach to remaining shots or require the photographer to adhere strictly to the end time to fulfil subsequent appointments. If the Client chooses not to provide such guidance, they accept the photographer’s professional judgment regarding the angles and areas to be photographed.
6.2. The Client is responsible for ensuring the property is fully prepared and staged (including cleaning, linen, and removal of clutter) before the photographer arrives. Time spent waiting for staging or preparation is considered part of the allotted session time.
6.3. The Client warrants that they have full authority to grant HousesandProperties.com access to the property for the purpose of carrying out the Services.
6.4. Access and Client Responsibility for On-Site Logistics
The Client is solely responsible for ensuring unhindered and timely access to the property for the photographer at the confirmed appointment time. This includes providing all necessary entry codes, keys, or security instructions at least 42 hours prior to the scheduled appointment.
The Client must ensure a clear means of access is available regardless of unexpected communications issues. If the Client intends to provide access via a phone call on the day, a property manager, or a temporary digital code:
- The Client accepts full responsibility for any delay or missed appointment arising from technology failure, poor signal, the photographer’s inability to reach the Client, or any last-minute communication failure.
- The Client must ensure the property is accessible at the scheduled time without dependence on a live, on-the-day phone call or communication.
Failure to provide access within 15 minutes of the scheduled appointment time will be treated as a Same-Day Cancellation and will result in Full Forfeiture (100% retention) of the booking payment, as stipulated in Section 3.3.
6.5. Incorrect Appointment Address Policy
The Client is solely responsible for ensuring the confirmed booking includes the correct and complete appointment address.
For Long-Distance Bookings (Section 1.4): If the initial travel to the incorrect address included non-refundable travel expenses, the Client remains liable for the Travel Reimbursement Fee defined in Section 3.2.1, in addition to the charges below.
Initial Wrong Address Charge: If HousesandProperties.com arrives at an incorrect address provided by the Client, the Client acknowledges this constitutes a breach. A Charge will be assessed based on the distance discrepancy:
- Grace Area (Less than 0.5 Miles): If the correct address is less than 0.5 miles from the provided location, no Wrong Address Charge is applied (as a gesture of goodwill).
- Charge Applied: If the correct address is 0.5 miles or more from the provided location, HousesandProperties.com shall retain fifty percent (50%) of the booking fee as liquidated damages to cover wasted travel time and administrative costs.
Resolution Options (After Charge is Assessed): After the initial 50% fee (if applicable) is retained, HousesandProperties.com shall, at its sole discretion, offer the following resolution:
- Termination (Service Not Completed): If time and scheduling do not permit travel to the correct address, the appointment will be deemed a Same-Day Cancellation initiated by the Client. In this event, the remaining fifty percent (50%) of the booking fee is also forfeited, resulting in a total 100% forfeiture of the original payment (as stipulated in Section 3.3).
- Completion (Service Completed): If HousesandProperties.com is able to complete the Service on the same day as the initial appointment time, the Client must pay an additional Inconvenience Fee based on the extra distance traveled:
- Short Distance (0.5 to 4 Miles Extra Travel): A fixed fee of £33 will be charged.
- Long Distance (>4 Miles Extra Travel): A fixed fee of £75 will be charged.
The Client must pay the applicable Inconvenience Fee before any attempt is made to complete the Service at the correct location.
7. Selection and Editing of Images
7.1. The specific number of finalised images the Client will receive is stated on the service page. Any requests for additional edits beyond what is specified must be submitted in writing and will incur an additional prorated fee.
7.2. All image credits or allowances provided are strictly allocated to the specific property for which the booking was made. Any unused image balance cannot be transferred or applied to Services for other properties.
8. Acceptance of Images and Limitation of Liability
The Client acknowledges that the photographs, videos, and other digital content produced (the “Images”) are true representations of the property as it appeared at the time of the shoot. The Client agrees to indemnify and hold harmless HousesandProperties.com, its photographers, and agents from any claims, damages, or liabilities arising from any alleged misrepresentation, distortion, or inaccuracy in the Images, including claims by third parties (e.g., prospective buyers). By proceeding with the booking and accepting delivery of the Images, the Client confirms they release HousesandProperties.com from any such claims.
8.1. Limitation of HousesandProperties.com Liability
Notwithstanding any other provision in this Agreement, the total liability of HousesandProperties.com to the Client for any and all claims, damages, or losses arising out of or in connection with the Services provided under this Agreement, whether in contract, tort (including negligence), or otherwise, shall in no event exceed the total amount paid by the Client to HousesandProperties.com for the specific Services giving rise to the claim. HousesandProperties.com shall not be liable for any indirect, consequential, or economic loss, including loss of profits or loss of business opportunity.
9. Licensing Release
9.1. General Marketing and Portfolio Licence
HousesandProperties.com grants the Client (the individual or entity who paid for the Service) a non-exclusive, perpetual, worldwide licence to use the delivered photographs, videos, and related media (“the Works”) solely for the purposes of marketing, promoting, and documenting the specific property or development depicted for sale, rental, accommodation listing (e.g., Airbnb, Rightmove), and future relistings.
Permitted Usage:
- Direct Marketing: Use is permitted perpetually on the Client’s own company website, own social media accounts (including profile feeds), and online property portals for the purpose of selling or renting the specific property.
- Purchaser’s Portfolio: The purchasing professional entity (e.g., Interior Designer, Architect, or Staging Company who paid for the shoot) is explicitly licensed to use the Works on their own company website and social media channels for professional project portfolio display.
9.2. Enhanced Commercial/Media Licence (Premium Services Only)
A broader licence is granted only when the Client purchases a designated premium service, such as Hotel Photography, Showroom Photography, or Commercial Property packages.
This Enhanced Licence includes all rights granted in Section 9.1, PLUS the explicit right for the purchasing entity to allow press, publishers, and media agencies to use the Works solely for editorial or promotional features directly related to the property or business depicted in the Works.
9.3. Strict Exclusions and Separate Licensing
Notwithstanding any other license granted, the following parties are strictly prohibited from using the Works for their own commercial gain without securing a separate licensing fee from HousesandProperties.com:
- Secondary Design/Construction Professionals: Any architect, builder, contractor, or staging company who did NOT pay for the Works is excluded from using them for their portfolio or marketing.
- Administrative & Documentation Professionals: Investors, solicitors, surveyors, or insurers for internal documentation, reports, or portfolio use.
- High-Value Media: Any magazine, publisher, or third-party reseller not explicitly covered under the Enhanced Licence in Section 9.2.
The Client may not sell, sub-license, or redistribute the Works as stock imagery.
9.4. Copyright Retention and Attribution Requirements
HousesandProperties.com retains full copyright and moral rights over the Works (as detailed in Section 11). All use is subject to the condition that credit must be given to HousesandProperties.com where technically and aesthetically practicable.
Required Attribution Format: Where credit is required or given, the attribution shall explicitly state the company name and website URL in the following format:
Houses and Properties (Website: https://housesandproperties.com/)
Mandatory Placement: This attribution must be placed either: directly adjacent to the Works (e.g., as a photo caption, watermark, or credit line), in the relevant digital file metadata, or in the description text for all social media posts and online listings. Failure to provide reasonable credit constitutes a breach of these Terms and may result in an enforcement fee as outlined in Section 10.
10. Third-Party Usage and Copyright Protection
Builders, architects, designers, or any third parties wishing to use our images must contact HousesandProperties.com for separate licensing and fees. For image integrity, The Works must not be altered or used in a way that misrepresents the property without prior written consent.
Unauthorised use of the Works will result in the immediate termination of this Agreement and may result in a fee calculated as Liquidated Damages to recover HousesandProperties.com’s genuine loss. This fee shall be calculated based on the cumulative total of:
- Full Market Licensing Rate: The standard market rate for similar usage and term length.
- Unauthorised Usage Fee: An additional 150% surcharge on the market rate for the unauthorised use.
- Duration & Administration: Royalties for the time the Works have been live, plus reasonable administrative and legal fees incurred in enforcing this clause.
The Client agrees to pay this calculated sum. Photo credit must be attributed to HousesandProperties.com when used on any social media platform.
11. Copyright Notice
HousesandProperties.com retains the copyright and ownership for all images it produces. Licensing for specific image applications may be available upon request. Requests for the removal of published images must be made in writing and are subject to the sole discretion of HousesandProperties.com and must be supported by valid legal or contractual justification.
12. Client Policy and Data Retention
HousesandProperties.com is not obligated to retain copies of files once they have been emailed to the Client. Download links sent to the Client expire after seven (7) days. The Client is strongly encouraged to download and securely store copies of all files immediately. After expiry, retrieval of files (if available) may be subject to an archival retrieval fee.
13. Service Continuation and Hosting
Virtual tours and 360 Matterport tours require a continuous monthly online hosting fee. The Client acknowledges that Matterport hosting services are provided by a third-party and that HousesandProperties.com is not responsible for any price increase imposed by the third-party provider. The Client will be responsible for any additional costs required to maintain hosting.
14. Updates to Terms and Application
HousesandProperties.com reserves the right to update, modify, or replace any portion of these Terms and Conditions by posting updates and/or changes on our website.
It is your responsibility to review the current Terms and Conditions before making any new booking. Your continued use of the website or booking a Service following the posting of any changes constitutes acceptance of those changes for all future bookings.
15. Data Protection and Privacy
HousesandProperties.com will process any personal data provided by the Client in accordance with applicable data protection laws, including GDPR. We will use personal data solely for the purpose of delivering our Services.
16. Dispute Resolution and Governing Law
Any dispute or claim arising out of this Agreement shall first be resolved through good faith negotiations. If the dispute cannot be resolved amicably, the parties agree to submit to mediation before resorting to legal action. If mediation fails, either party may refer the dispute to the small claims track of the County Court. This Agreement shall be governed by and construed in accordance with the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts in England and Wales.
17. Indemnity and Liability
The Client agrees to indemnify, defend, and hold harmless HousesandProperties.com, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses arising from the Client’s use of the deliverables, including any misrepresentation, infringement, or legal violation arising from the use of the Images or Services.
18. Force Majeure
18.1. Neither party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by events beyond the reasonable control of the party, including but not limited to acts of God, war, terrorism, pandemics, severe government restrictions, or any other comparable catastrophic circumstances (Force Majeure Events).
18.2. Exclusion of Client-Side Issues: The Force Majeure clause does not apply to any circumstances affecting the Client’s ability to prepare the property, provide access, or fulfill their duties under this Agreement. This explicitly includes, but is not limited to, appliance malfunction, personal illness, personal travel delays, staging issues, or any other logistical difficulty exclusive to the property or the Client. Such client-side issues do not negate the forfeiture terms outlined in Section 3.3.
18.3. Weather Conditions and Client Cancellation
The Client acknowledges that weather conditions (including rain, fog, or low light) are factors outside the control of HousesandProperties.com. Adverse weather conditions are not considered grounds for cancellation or rescheduling by the Client.
- Client Proceeding: If the Client chooses to proceed with the booking despite weather that may affect image quality, the Client accepts the resulting image quality, and the payment remains non-refundable.
- Photographer Discretion: The decision to halt or cancel a shoot rests solely with the photographer if conditions present a safety risk or threaten the integrity of the equipment (e.g., severe storms, heavy downpour). If the shoot is cancelled due to severe weather (as determined by HousesandProperties.com), the booking will be rescheduled once for free at the earliest mutual convenience. The Client cannot claim a full refund if HousesandProperties.com offers a free reschedule due to weather. The Client acknowledges that the photographer’s decision regarding weather-related safety or quality concerns shall be final.
19. Non-Solicitation and Anti-Poaching
The Client acknowledges and agrees that all photographers, videographers, editors, and other personnel performing Services for HousesandProperties.com are employees or contractors of HousesandProperties.com.
The Client expressly agrees not to solicit, hire, contract with, or engage (directly or indirectly) any current or former employee or contractor of HousesandProperties.com, or any individual introduced to the Client by HousesandProperties.com, for the purpose of receiving services competitive with the Services offered by HousesandProperties.com for a period of twenty-four (24) months following the completion of any Service.
19.1. Liquidated Damages
The Client acknowledges that any breach of this Non-Solicitation clause would cause substantial, but difficult-to-determine, financial harm to HousesandProperties.com. Accordingly, the Client agrees that if a breach of Section 19 occurs, the Client shall pay HousesandProperties.com Liquidated Damages equal to three (3) times the value of the original booking fee paid for the last Service rendered by the solicited employee or contractor. This amount represents a genuine and reasonable pre-estimate of the administrative and lost profit costs incurred by HousesandProperties.com, and is **not a penalty.**
20. Right to Refuse or Terminate Service
HousesandProperties.com reserves the explicit right to decline or immediately terminate any current or future Service or appointment, including the right to refuse to enter a property, if the Client’s conduct presents a risk to physical safety, equipment integrity, or mental well-being.
20.1. Grounds for Termination
This right may be exercised if the Client engages in conduct deemed by HousesandProperties.com to be:
- Detrimental Communications: Unproductive, harassing, abusive, or excessive communication (text, email, or phone) that places an unreasonable burden on our administrative or personnel resources.
- Unsafe, aggressive, discriminatory, or threatening behavior toward our personnel.
- A breach of professional conduct or a significant hindrance to the agreed-upon Service.
20.2. Financial Consequence
Should HousesandProperties.com terminate a current or future appointment under this Section:
- Termination Before Appointment: If the termination occurs prior to the scheduled appointment time due to Detrimental Communications or other grounds under Section 20.1, it will be treated as a Same-Day Cancellation initiated by the Client and will result in Full Forfeiture (100% retention) of the booking payment, as stipulated in Section 3.3.
- Termination On-Site: If the termination occurs on-site, the financial consequence will be a Full Forfeiture (100% retention) of the booking payment, as stipulated in Section 3.3 and further defined under Access Failure in Section 6.4.
20.3. No Right to Refund
The Client acknowledges that termination under this clause does not give rise to any claim for a refund, credit, or compensation against HousesandProperties.com.
20.4 Priority of Terms
In the event of any conflict between these Terms and any other document, communication, or policy (including website text or email correspondence), these Terms shall prevail unless explicitly superseded in writing and signed by both parties.
21. Severability
If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions of this Agreement shall remain in full force and effect. The invalid, illegal, or unenforceable provision shall be replaced with a valid provision that most closely reflects the original intent of the parties.
22. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding the Services and supersedes all prior communications, negotiations, or agreements, whether written or oral, relating to its subject matter.
